Introduction

Welcome to Collis LTD ("Collis", "we", "us", or "our"). Collis operates a digital wallet platform specifically designed to serve international visitors, tourists, and non-residents in the Republic of Rwanda. Our platform enables users to fund a digital wallet using international payment cards and transfer funds to MTN Mobile Money (MoMo) accounts throughout Rwanda, facilitating seamless, cashless payments without requiring a local SIM card.

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Customer", "you") and Collis LTD, a company incorporated under the laws of the Republic of Rwanda. These Terms govern your access to and use of the Collis mobile application, website, APIs, and all related services (collectively, the "Services" or "Platform").

By accessing or using the Platform in any way, including by creating an account, completing KYC verification, funding a wallet, or initiating a transaction, you confirm that:

  • You have read, understood, and agree to be bound by these Terms;
  • You are at least 18 years of age or the age of majority in your country of residence, whichever is higher;
  • You have the legal capacity to enter into this binding agreement;
  • If you are using the Services on behalf of a legal entity, you are duly authorised to bind that entity to these Terms;
  • You will comply with all applicable local, national, and international laws and regulations, including but not limited to Rwandan laws governing payments, anti-money laundering (AML), and data protection.

Collis reserves the right to amend these Terms at any time. Material changes will be communicated via the Platform and/or registered email. Continued use of the Services after any such change constitutes acceptance of the revised Terms

Definitions

In these Terms, the following expressions have the meanings assigned to them below ,unless the context requires otherwise

  • AML: Anti-Money Laundering - the set of laws, regulations, and procedures intended to prevent the proceeds of crime from being disguised as legitimate income.
  • BNR: National Bank of Rwanda (Banque Nationale du Rwanda) — the central bank and financial services regulator of Rwanda.
  • Collis / Platform: The digital wallet application, website and all associated services operated by Collis LTD.
  • Customer Data: Any personal, financial, or transactional data submitted by or collected from Users in connection with the Platform, including KYC documents, payment card details (processed by XentriPay), and transaction histories.
  • FATF: Financial Action Task Force — the inter-governmental body that sets global standards for AML and counter-terrorism financing (CTF) compliance.
  • Force Majeure: An event beyond a party’s reasonable control that prevents performance of obligations, including acts of God, government action, regulatory intervention, network outages, civil unrest, or pandemic.
  • KYC: Know Your Customer — the mandatory verification process by which Collis confirms a User’s identity, including document verification, biometric liveness checks, and AML screening.
  • Law No. 058/2021: The Rwandan Law relating to the protection of personal data and privacy, enacted on 13 October 2021, and any amendments or implementing regulations thereof.
  • MoMo / MTN MoMo: MTN Mobile Money — the mobile money service operated by MTN Rwanda, into which Collis Users may transfer funds from their digital wallet.
  • Processing Fee: A fee charged by XentriPay for processing top-up transactions.
  • Services: All services offered by Collis through the Platform, including wallet top-up, mobile money transfers, wallet withdrawals via PayPal, and ancillary services described in Section 4.
  • Subscription Term: The period during which a User is subscribed to a particular tier of Collis Services, as specified in the Order Form or at account creation.
  • Transaction Fee: The fee charged per wallet-to-MoMo transfer transaction.
  • User / You: Any individual who downloads, registers for, or accesses the Collis Platform, whether or not a completed transaction has taken place.
  • Wallet: The Collis digital wallet — a prepaid electronic money account held on the Platform, funded by international card transactions and used to initiate transfers to MTN MoMo accounts.
  • Withdrawal Fee: The fee charged to transact from the Wallet to a PayPal account.
  • XentriPay: The licensed Payment Service Provider that processes card-based top-up transactions and disburses funds to MTN MoMo accounts on behalf of Collis.

Eligibility and Account Registration

To register and use the Collis Platform, you must satisfy all of the following conditions:

  • You must be at least 18 years of age. Collis does not knowingly permit access by minors.
  • You must be a visitor, tourist, or temporary non-resident in Rwanda. Collis is specifically designed to serve individuals who do not hold a Rwandan SIM card and/or permanent residence.
  • You must hold a valid passport or nationally recognised government-issued photo identity document.
  • You must possess a valid international credit or debit card capable of processing transactions in USD or other supported currencies.
  • You must not be located in, or be a national or resident of, any country subject to international sanctions, embargo, or financial crime restriction that would make your use of the Platform unlawful.
  • You must not be listed on any national or international sanctions list, including those maintained by the United Nations Security Council, OFAC (US Office of Foreign Assets Control), the European Union, or the FIC.
  • You must provide accurate, complete, and up-to-date information throughout the registration and KYC process.

Account Registration

To access the full functionality of the Platform, you must create an account by providing the information required during the KYC Process. This ID Verification and Liveness verification. You agree to:

  • Provide only truthful, accurate, and complete information during registration and throughout your use of the Platform;
  • Promptly update your account information if any details change.
  • Maintain the security and confidentiality of your account credentials, PIN, biometric data, and any authentication tokens associated with your account;
  • Immediately notify Collis at help@collis.so if you suspect any unauthorised access to or use of your account.
  • Not share your account with any other person or permit any third party to access your Wallet on your behalf, except as explicitly permitted under these Terms.

One Account Per Use

Each individual may maintain only one active Collis account. Creation of multiple accounts, whether under the same or different identities, constitutes a material breach of these Terms and may result in immediate account suspension, forfeiture of wallet balances (subject to applicable law), and referral to relevant authorities.

Account Security and Responsibility

You are fully responsible for all activities that occur under your account. Collis shall not be liable for any loss or damage arising from unauthorised access to your account that results from your failure to maintain adequate security over your credentials, device, or authentication methods.

Know Your Customer (KYC), Anti-Money Laundering (AML), and Compliance

Collis operates in a regulated payment environment and is committed to combating
financial crime. The following provisions reflect our obligations under Rwandan law, BNR
regulations, and FATF recommendations

Mandatory KYC Verification

KYC verification is mandatory before any transaction can be initiated on the Platform. No wallet top-up, mobile money transfer, or withdrawal may occur until KYC is completed. The KYC process includes, but is not limited to:

  • Submission of a valid government-issued photo identity document (passport or national ID);
  • Real-time biometric liveness check and facial verification to confirm that the person completing KYC matches the submitted document;
  • Automated ID authenticity verification via integrated third-party API service (Didit);
  • Real-time AML screening against international sanctions lists, PEP (Politically Exposed Persons) databases, and adverse media sources;
  • Where required by law or risk assessment, Enhanced Due Diligence (EDD) may be applied

Ongoing Monitoring

KYC is an ongoing obligation, not a one-time event. Collis may request updated KYC documentation at any time, particularly if:

  • Collis's automated monitoring systems flag unusual activity.
  • Regulatory requirements mandate re-verification.
  • There is a change in your risk rating or sanctions status.

Failure to provide requested documentation within the timeframe specified by Collis may result in temporary or permanent account suspension.

Transaction Monitoring and Limits

All transactions are monitored in real time by automated systems. The following limits apply by default, subject to change based on your verified risk profile and applicable regulatory guidance:

  • Maximum single wallet top-up: USD 1,000 per transaction;
  • Minimum single wallet-top: USD 50 per transaction;
  • Transaction alerts are triggered for patterns that may indicate structuring, money laundering, fraud, or other financial crime.
  • Collis reserves the right to apply additional restrictions, including daily, weekly, or monthly transaction caps, at any time and without prior notice

Prohibited Uses and Source of Funds

You represent and warrant that:

  • All funds loaded into your Collis Wallet originate from legitimate, lawful sources.
  • You are not using the Platform, directly or indirectly, to facilitate money laundering, terrorist financing, sanctions evasion, tax fraud, or any other financial crime;
  • You are not a Politically Exposed Person (PEP) without having disclosed this status during registration;
  • You are not acting as an agent, nominee, or on behalf of an undisclosed third party.

Description of Services

Wallet Top-Up (Card Funding)

Users may fund their Collis Wallet using an international credit or debit card. Card transactions are processed exclusively by XentriPay, a Payment Service Provider duly licensed by the National Bank of Rwanda under License No. BNR/PI/2025/03. Funds are reflected in the Wallet immediately upon successful processing by XentriPay.

Important conditions applying to wallet top-ups:

  • A processing fee of 3% of the top-up amount is charged by XentriPay and deducted at the time of processing.
  • Collis does not store, access, or retain raw card data at any stage. All card processing occurs within XentriPay's PCI-DSS-compliant environment.
  • Top-ups are subject to the applicable transaction limits specified in Section 4.3;
  • Collis is not responsible for delays, failures, or errors attributable to your card issuer, international banking networks, or XentriPay's processing systems;
  • Currency conversion, if applicable, is performed at the exchange rate determined by XentriPay and/or your card issuer at the time of processing.

Mobile Money Transfer (Wallet to MTN MoMo)

Once your Wallet is funded, you may transfer any amount (subject to available balance) to any valid MTN Mobile Money (MoMo) account in Rwanda. This service enables visitors to pay for goods and services across Rwanda — including accommodation, transport, food, retail purchases, and activities — without needing a local SIM card.

  • A flat transaction fee of RWF 350 (approximately USD 0.25) is charged per transfer, regardless of the amount transferred.
  • Funds are disbursed to the recipient MTN MoMo account by XentriPay on behalf of Collis.
  • Transfer processing times depend on the MTN MoMo network and XentriPay's disbursement systems. While transfers are generally near-instant, Collis does not guarantee any specific time for funds to appear in the recipient's MoMo account.
  • You are solely responsible for verifying the accuracy of the recipient's MTN MoMo number before confirming any transfer. Collis cannot reverse a completed transfer once disbursement has been initiated.
  • Collis is not responsible for any consequences arising from an incorrect or invalid MoMo number provided by the User

Wallet Withdrawal (to PayPal)

Users who wish to recover unspent wallet balances may initiate a withdrawal to a registered PayPal account. This service is designed primarily for departing visitors.

  • A flat withdrawal fee of USD 3.00 is charged per withdrawal transaction, regardless of the amount.
  • Withdrawals are processed within three (3) to five (5) business days from the date the request is confirmed.
  • Collis is not responsible for delays, currency conversions, or fees imposed by PayPal upon receipt of funds.
  • Collis reserves the right to conduct additional verification before processing withdrawal requests, particularly for large amounts or flagged accounts.
  • Minimum withdrawal amount may apply and will be communicated through the Platform.

Availability of Services

Collis endeavours to make the Platform available 24 hours a day, 7 days a week. However, availability may be affected by scheduled maintenance, third-party infrastructure outages (including XentriPay, MTN MoMo, PayPal, and internet services), or events outside our control. Collis will provide advance notice of planned maintenance through the Platform where reasonably practicable

Fees, Pricing, and Payment Terms

The following fee schedule applies to all transactions on the Platform. All fees are exclusive of any applicable taxes unless otherwise stated. Fees may be updated from time to time with reasonable prior notice.

Non-Refundable Fees

All fees charged by Collis are non-refundable, except as expressly provided in these Terms or required by applicable law. Transaction fees charged for completed transfers, including where the transfer has been submitted for disbursement by XentriPay, are non-refundable even if the recipient MoMo account is invalid or the transfer is returned

Currency and Exchange Rates

The Collis Wallet operates using a combination of USD and RWF, depending on the nature of the transaction. Currency conversion applicable to card top-ups is determined at the time of processing by XentriPay and/or your card-issuing bank. All other exchange rates on the platform are applied as published by the National Bank of Rwanda. Collis does not control exchange rates and is not responsible for any losses resulting from currency fluctuations.

Fee Updates

Collis reserves the right to amend its fee schedule at any time. Users will be notified of any fee changes through the Platform and/or registered email address at least fourteen (14) days before the new fee schedule takes effect. Continued use of the Platform after the effective date constitutes acceptance of the updated fees.

User Obligations, Restrictions, and Prohibited Conduct

General Obligations

As a User of the Collis Platform, you agree at all times to:

  • Use the Platform only for lawful purposes and in accordance with these Terms;Provide accurate, complete, and truthful information during registration, KYC, and all Platform interactions;
  • Maintain the security of your account, device, and authentication credentials.
  • Comply with all applicable Rwandan laws, regulations, and regulatory directives;
  • Cooperate with Collis's compliance team, including promptly responding to requests for additional KYC documentation or information.

Prohibited Conduct

You must not, under any circumstances:

  • Use the Platform for any illegal purpose, including but not limited to money laundering, terrorist financing, sanctions evasion, fraud, or tax evasion;
  • Provide false, misleading, or fraudulent information during registration or KYC verification;
  • Attempt to circumvent, disable, or interfere with any security feature, monitoring system, or technical restriction on the Platform;
  • Use automated tools, bots, scripts, or other mechanisms to access, scrape, or interact with the Platform in an unauthorised manner;
  • Transfer funds on behalf of a third party (acting as an agent) without prior written authorisation from Collis;
  • Use the Platform as a payment gateway or resell access to the Platform's services to any third party;
  • Access the Platform from a jurisdiction subject to international sanctions or where your use would be prohibited by applicable law;
  • Transmit any harmful, defamatory, obscene, threatening, or otherwise unlawful content through the Platform;
  • Infringe any intellectual property rights of Collis or any third party in connection with your use of the Platform;
  • Attempt to gain unauthorised access to any part of the Platform, its infrastructure, or any other user's account;
  • Conduct any activity that places an unreasonable or disproportionate load on the Platform's infrastructure.

Responsibility for Errors

You are solely responsible for verifying the accuracy of all transaction details before submission, including the recipient's MTN MoMo number and the transfer amount. Collis shall not be liable for any losses, whether financial or otherwise, arising from transactions initiated based on incorrect details provided by you

Term, Suspension, and Termination

Term

These Terms take effect upon your creation of a Collis account (the "Effective Date") and remain in force until terminated in accordance with the provisions of this Section

Termination by You

You may close your Collis account at any time by contacting us at help@collis.so or through the account closure function within the Platform. Before closing your account, you must withdraw any remaining balance to your PayPal account (subject to withdrawal terms and applicable fees). Collis is not responsible for balances that are not withdrawn before account closure.

Suspension or Termination by Collis

Collis may suspend, restrict, or terminate your access to the Platform, immediately and without prior notice, in any of the following circumstances:

  • You have materially breached these Terms, including the prohibited conduct provisions of Section 7.2;
  • Collis is required to do so by applicable law, regulation, court order, or directive from a regulatory authority, including BNR;
  • Your account is suspected of involvement in financial crime, fraud, money laundering, or sanctions evasion.
  • You have provided false or fraudulent information during registration or KYC;
  • Your KYC verification fails or cannot be completed.

Collis, in its sole discretion, determines that continued provision of services to you poses a legal, regulatory, reputational, or security risk to Collis or other users.

Effects of Termination

Upon termination of your account:

  • Your right to access and use the Platform ceases immediately.
  • Any remaining Wallet balance (if account is closed voluntarily and not suspended for cause) may be returned to you via PayPal, subject to applicable fees and verification requirements.
  • Any accrued obligations and liabilities, including outstanding legal claims, survive termination.

Intellectual Property

All intellectual property rights in and to the Collis Platform, including its software, design, user interface, branding, trademarks, trade names, logos, documentation, and underlying technology, are the exclusive property of Collis LTD or its licensors. Nothing in these Terms shall be construed as transferring any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Collis application solely for the purpose of accessing and using the Services as permitted under these Terms. You may not:

  • Copy, reproduce, modify, adapt, translate, or create derivative works based on the Platform or any component thereof;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
  • Remove, alter, or obscure any trademark, copyright notice, or proprietary legend on the Platform;
  • Use the Collis name, logo, or brand in any manner not expressly authorised by Collis in writing

Disclaimers of Warranties and Limitation of Liability

No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COLLIS PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. COLLIS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

Collis does not warrant that:

  • The Platform will be uninterrupted, error-free, or free from viruses or other harmful components;
  • Any transaction will be completed within a specific timeframe.
  • The Platform will meet your individual requirements or expectations.
  • Third-party services, including XentriPay, MTN MoMo, and PayPal, will perform without error or delay

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY RWANDAN LAW AND OTHER APPLICABLE LAWS, IN NO EVENT SHALL COLLIS LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUBCONTRACTORS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, OR GOODWILL;
  • LOSS OF DATA OR WALLET BALANCE RESULTING FROM UNAUTHORISED ACCESS DUE TO YOUR FAILURE TO SECURE YOUR ACCOUNT;
  • LOSS ARISING FROM YOUR RELIANCE ON THE PLATFORM FOR ANY BUSINESS OR FINANCIAL DECISION;

ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF COLLIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT THAT COLLIS'S LIABILITY CANNOT BE FULLY EXCLUDED UNDER APPLICABLE LAW, COLLIS'S AGGREGATE LIABILITY SHALL IN NO EVENT EXCEED THE TOTAL FEES PAID BY YOU TO COLLIS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Force Majeure

Collis shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by a Force Majeure event, including acts of God, government actions, regulatory interventions, network outages, acts of civil unrest, pandemic, or other events beyond Collis's reasonable control. Collis will notify users of any such event through the Platform as soon as reasonably practicable.

Indemnification

You agree to indemnify, defend, and hold harmless Collis LTD, its officers, directors, employees, agents, subcontractors, and licensors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of any provision of these Terms;
  • Your violation of any applicable law or regulation, including Rwandan AML, data protection, or financial services laws;
  • Any claim by a third party arising from your use of the Platform, including claims relating to incorrect MoMo numbers, unauthorised use of your account, or fraud;
  • Any misrepresentation made by you during the registration, KYC, or transaction process;
  • Your infringement of any intellectual property or other rights of any third party.

Dispute Resolution, Arbitration, and Governing Law

IMPORTANT — PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A BINDING ARBITRATION
AGREEMENT AND A CLASS ACTION WAIVER. BY USING THE COLLIS PLATFORM, YOU AND COLLIS
AGREE TO RESOLVE ALL DISPUTES EXCLUSIVELY THROUGH BINDING ARBITRATION AND NOT
THROUGH ANY COURT OR JUDICIAL PROCEEDING. YOU ARE WAIVING YOUR RIGHT TO A COURT
HEARING, A TRIAL BEFORE A JUDGE OR JURY, AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR
REPRESENTATIVE PROCEEDING

Governing Law

These Terms and all matters arising out of or relating to them shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law principles.

Mandatory Good-Faith Negotiation (Precondition to Arbitration)

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any transaction conducted through the Platform, both parties shall first use their best efforts to resolve the Dispute through direct, good-faith written negotiations. You must submit a written notice of your Dispute to legal@collis.so, clearly describing the nature of the Dispute and the relief sought. Collis will respond within thirty (30) days. Neither party may initiate arbitration until this thirty (30) day negotiation period has expired without resolution. This negotiation requirement is a mandatory precondition to arbitration and cannot be waived

Binding Arbitration - Exclusive Remedy

IF A DISPUTE IS NOT RESOLVED THROUGH GOOD-FAITH NEGOTIATION WITHIN THIRTY (30) DAYS, THE DISPUTE SHALL BE FINALLY AND EXCLUSIVELY RESOLVED BY BINDING ARBITRATION. BOTH YOU AND COLLIS EXPRESSLY AND IRREVOCABLY WAIVE ALL RIGHTS TO INITIATE, PARTICIPATE IN, OR PURSUE ANY DISPUTE THROUGH ANY COURT, TRIBUNAL, OR JUDICIAL PROCESS OF ANY KIND, WHETHER CIVIL, COMMERCIAL, OR OTHERWISE, IN ANY JURISDICTION WHATSOEVER. THIS INCLUDES, WITHOUT LIMITATION, COURTS IN RWANDA OR ANY OTHER COUNTRY.

The arbitration shall be conducted as follows:

  • Seat of Arbitration: The arbitration shall be seated in Kigali, Republic of Rwanda.
  • Administering Body: The arbitration shall be administered by the Kigali International Arbitration Centre (KIAC) in accordance with its Arbitration Rules then in force, or, if KIAC is unavailable, by a mutually agreed arbitral institution applying internationally recognised arbitration rules;
  • Number of Arbitrators: One (1) sole arbitrator, unless the value of the Dispute exceeds USD 10,000, in which case a panel of three (3) arbitrators shall be appointed in accordance with the applicable rules;
  • Language: The arbitration shall be conducted in English.
  • Arbitrator Qualifications: The arbitrator(s) shall have substantial experience in commercial, financial services, or technology law;
  • Costs: Each party shall bear its own legal costs. Arbitration filing and administrative fees shall be allocated in accordance with the applicable institutional rules.
  • Award: The arbitral award shall be final, binding, and enforceable in any jurisdiction. Judgment upon the award may be entered in any court of competent jurisdiction solely for the enforcement of the award.

Waiver of Court Proceedings

BY ACCEPTING THESE TERMS, YOU EXPRESSLY AND UNCONDITIONALLY WAIVE ANY AND ALL RIGHTS TO BRING, MAINTAIN, OR PARTICIPATE IN ANY LEGAL ACTION, LAWSUIT, OR COURT PROCEEDING OF ANY NATURE IN CONNECTION WITH ANY DISPUTE ARISING UNDER OR RELATED TO THESE TERMS OR THE PLATFORM. THIS WAIVER IS ABSOLUTE AND APPLIES TOALL COURTS, INCLUDING BUT NOT LIMITED TO COURTS IN RWANDA, AND TO ALL TYPES OF PROCEEDINGS, INCLUDING INJUNCTIVE RELIEF APPLICATIONS, UNLESS EXPRESSLY PROVIDED FOR IN SECTION 13.7 BELOW

Class Action and Collective Proceedings Waiver

ALL DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS ONLY. NEITHER YOU NOR COLLIS MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, CONSOLIDATED ARBITRATION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE MORE THAN ONE INDIVIDUAL'S CLAIMS, OR TO PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS FOUND TO BE UNENFORCEABLE IN ANY RESPECT, THE ENTIRETY OF THE ARBITRATION AGREEMENT IN THIS SECTION 13 SHALL BE NULL AND VOID.

Opt-Out Right

You may opt out of this arbitration agreement by sending a written notice of your decision to opt out to legal@collis.so within thirty (30) days of first accepting these Terms. Your opt-out notice must include: (i) your full legal name; (ii) the email address associated with your Collis account; and (iii) a clear statement that you wish to opt out of the arbitration agreement. If you opt out, any Disputes will be resolved as set out in Section 12.7 below. Opting out does not affect any other provision of these Terms.

Limited Exception - Emergency Interim Relief Only

Notwithstanding the foregoing, either party may seek emergency interim or injunctive relief from a competent court of the Republic of Rwanda solely where such relief is necessary to prevent immediate, irreparable harm that cannot be adequately addressed through arbitration. Any such application shall be strictly limited in scope to the emergency interim relief sought and shall not constitute a waiver of the arbitration agreement. The party seeking such relief must simultaneously initiate the arbitration process

Severability of Arbitration Clause

If any part of this arbitration agreement other than the class action waiver in Section 12.5 is found to be invalid or unenforceable under applicable law, that part shall be severed and the remaining portions of this Section 12 shall remain fully enforceable. If the class action waiver in Section 12.5 is found to be unenforceable, the entire arbitration agreement shall be void and of no effect

General Provisions

Entire Agreement

These Terms, together with the Collis Privacy Policy, Cookie Policy, and any other policies expressly incorporated herein, constitute the entire agreement between you and Collis with respect to the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof

Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver

Collis's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be made in writing and signed by an authorised representative of Collis to be effective.

Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms to any third party without the prior written consent of Collis. Collis may assign these Terms in connection with a merger, acquisition, sale of substantially all assets, or corporate reorganisation, provided that the assignee assumes all obligations under these Terms. You will be notified of any such assignment.

Relationship of Parties

The parties are independent contracting parties. These Terms do not create any partnership, joint venture, agency, employment, or franchise relationship between you and Collis.

Subcontractors and Subprocessors

Collis may engage subcontractors and third-party subprocessors to fulfil its obligations under these Terms, including XentriPay and PayPal for payment processing and Didit for KYC/AML verification service. All subprocessors are subject to contractual obligations no less protective than those set out in these Terms.

Notices

Any formal notice required under these Terms must be in writing. Notices to Collis should be sent to legal@collis.so Notices to you will be sent to the email address registered with your Collis account. Notices sent by email are deemed effective upon confirmed delivery. Collis may also provide general notices to all users via the Platform.

Amendments

Collis reserves the right to modify these Terms at any time. Material amendments will be communicated to you via the email address associated with your account and/or by a prominent notice within the Platform, at least fourteen (14) days before the amendment takes effect. Minor amendments (such as typographical corrections) may be made without notice. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to an amendment, you must close your account before the amendment takes effect.

Language

These Terms are drafted in the English language. In the event of any translation into another language, the English version shall prevail in the event of any inconsistency.

Third-Party Beneficiaries

These Terms are solely for the benefit of the parties hereto and their permitted successors and assigns. No third party shall have any right to enforce any provision of these Terms.

Regulatory Compliance and Licensing

Collis operates in reliance on the licence and regulatory approvals held by XentriPay (BNR License No. BNR/PI/2025/03) for the processing of payment transactions in Rwanda. Collis is committed to operating in full compliance with applicable Rwandan financial services, data protection, and telecommunications laws. Collis shall promptly notify users of any material change in its regulatory status that affects the availability or scope of the Services.
